This agreement is a draft that counsel has not reviewed yet. It may change, and agencies will be asked to accept any new version.
What this agreement is
This agreement is between MyStorefront and the agency that signs it. The agency here means a talent-management agency or a clipping network that has applied, been admitted by MyStorefront, and is signing in to the agency console.
This is not the creator agreement. Creators on the agency's roster accept their own agreement with MyStorefront and are not parties to this one.
Accepting it records your agreement for the agency, so the person accepting must be authorised to bind it.
MyStorefront does not pay the agency
MyStorefront does not pay the agency anything. There is no fee, share, commission, bonus or other payment from MyStorefront to the agency for introducing creators or clippers, for what they sell, or for anything else. Nothing is owed to the agency, and the console does not count or promise any amount.
The agency agrees its own terms with its talent, off MyStorefront. That includes any management fee. MyStorefront takes no part in those terms, is not a party to them, and moves no money for the agency: it does not collect, hold, pass on or pay anything between the agency and its talent.
What an agency is and is not
An agency is a business that introduces creators and clippers to MyStorefront. It does not post for MyStorefront, sell on the agency's own storefront, or run anyone's account. The agency has a roster link. A creator or clipper who registers through that link is attributed to the agency when their account is created.
The attribution is used only to count the agency's roster. Who introduced a creator is settled once, when the account is created. It cannot be changed, transferred or claimed afterwards, and a creator can be credited to only one agency or inviter. A creator who was already on MyStorefront is not attributed to the agency.
An agency is not an employer, agent or partner of MyStorefront, and cannot make promises on MyStorefront's behalf. The creators on the roster earn exactly what they would have earned if no agency had introduced them.
The agency must not describe MyStorefront as a way to earn from recruiting.
What the agency sees
MyStorefront shows the agency counts only: how many creators joined through its link, how many have set a payout method, and how many are selling. MyStorefront gives the agency no name, handle, storefront, contact detail, order or earnings of any individual roster creator, and the agency must not ask MyStorefront for them. The agency manages its talent with its own records.
The creator is told who introduced them.
There is one level only. A creator the agency brought in who invites someone else earns nothing from it for the agency, and the agency has no standing in that second introduction.
What the agency must pass on to its talent
Every creator on the roster must follow the creator agreement. In particular the agency must make sure that the people it puts on MyStorefront:
- label every post that promotes a product as advertising, every time, and disclose their commercial relationship with MyStorefront and the brand wherever the law or platform rules require it; and
- use a brand's photos and videos only under the media-reuse licence the brand agreement gives, and in particular not in paid advertising unless the brand agrees to that separately.
The agency passes these requirements on to the talent it manages and acts on them once it knows they are broken.
Fair use and MyStorefront's right to restrict or remove
Introduce people who will genuinely sell. MyStorefront may cancel an attribution where an account was created to game the programme: for example accounts that exist only to be counted, or duplicate or invented accounts.
MyStorefront may also restrict the agency, pause attribution to it, or remove it, at any time and without paying anything. Creators on the roster are not affected by this: they keep selling and keep being paid their own commission.
Ending this agreement
The agency may close its account at any time. MyStorefront may end this agreement, restrict the agency or remove its account at any time, and must do so where the law requires. When this agreement ends, no new creators are attributed to the agency. Creators already on the platform stay, on their own agreement with MyStorefront.
Changes
Material changes are issued as a new version. The agency must accept the current version before using the console again.
Law
This agreement is governed by the law of the country of the MyStorefront entity that signs it.
